Welcome to Patch Party Club. These Terms & Conditions ("Terms") govern your access to and use of www.patchpartyclub.com (the "Site"), including all purchases, bookings, digital downloads, and experiences offered through our Site. By using this Site, you agree to be bound by these Terms.

2. Platform & Ecommerce Provider (Shopline)

This Site is powered by Shopline, an ecommerce platform that enables us to sell products and services online. By using this Site, you also agree to comply with any applicable Shopline terms, policies, and payment processing requirements.

Patch Party Club is not responsible for Shopline's independent platform operations, outages, or third-party service interruptions. Payment information is processed securely through Shopline-approved third-party payment processors. Patch Party Club does not store full payment card details.

3. Eligibility & Site Use

You must be at least 18 years old or have parental/legal guardian consent to use this Site. You agree not to:

  • Use the Site for unlawful purposes
  • Attempt to bypass security or payment systems
  • Copy, scrape, or exploit Site content or data
  • Interfere with Site functionality or other users

We reserve the right to suspend or terminate access at our discretion.

4. Products, Services & Availability

Patch Party Club offers:

  • Custom products
  • Events, workshops, pop-ups, and experiential activations

Product descriptions, pricing, availability, and release dates may change without notice. Due to the handmade, small-batch, or custom nature of many products, minor variations are normal and not considered defects.

5. Custom & Made-to-Order Items

All custom, personalized, or made-to-order items are FINAL SALE.

By submitting designs, logos, text, or concepts for custom work, you represent and warrant that:

  • You own or have licensed the rights to the submitted content
  • The content does not infringe on trademarks, copyrights, publicity rights, or other intellectual property

Patch Party Club reserves the right to refuse any custom request that violates IP laws or brand standards.

6. Orders, Pricing & Payment

All prices are listed in U.S. dollars unless stated otherwise. We reserve the right to:

  • Correct pricing or listing errors
  • Cancel or limit orders
  • Refuse service for suspected fraud, resale abuse, or policy violations

Orders are not confirmed until payment is successfully processed.

7. Shipping & Delivery

Shipping times are estimates only and not guaranteed. Patch Party Club is not responsible for:

  • Carrier delays
  • Customs or international processing delays
  • Lost or stolen packages after confirmed delivery

Risk of loss passes to the customer upon carrier acceptance.

8. Returns & Refunds

Unless otherwise stated:

  • Custom, digital, event, and clearance items are non-refundable
  • Eligible return requests must be made within 7 days of delivery
  • Items must be unused and in original condition
  • Shipping fees are non-refundable

9. Digital Products

All digital products are delivered electronically and are non-refundable. Digital products are licensed for personal or approved business use only. Resale, redistribution, sharing, or duplication is strictly prohibited unless expressly authorized in writing.

10. Events, Classes & Experiences

All event, workshop, activation, or class purchases are non-refundable, unless explicitly stated otherwise. Patch Party Club reserves the right to:

  • Modify event details
  • Substitute instructors or materials
  • Reschedule or cancel events

If an event is canceled by Patch Party Club, a credit or refund may be issued at our discretion. Participants voluntarily assume all risks associated with attendance, including physical activity, use of tools, or materials.

11. Force Majeure

Patch Party Club shall not be held liable for failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to:

  • Natural disasters
  • Acts of God
  • Pandemics or public health emergencies
  • Government actions or regulations
  • Labor shortages or strikes
  • Supply chain disruptions
  • Transportation delays
  • Power, internet, or platform outages (including Shopline or payment providers)

Such events do not entitle customers to refunds unless required by law.

12. Intellectual Property Rights

All content associated with Patch Party Club—including but not limited to patch designs, artwork, illustrations, graphics, product names, collections, concepts, logos, trademarks, slogans, taglines, event formats, activations, experiences, photography, videos, and marketing assets—are the exclusive intellectual property of Patch Party Club and/or Woodfield Holdings Corporation and are protected by U.S. and international intellectual property laws.

Any unauthorized reproduction, imitation, resale, reverse engineering, or commercial exploitation is strictly prohibited and may result in legal action. No license or rights are granted by implication.

13. User-Generated Content

By submitting photos, videos, reviews, testimonials, or tagged social content, you grant Patch Party Club a perpetual, worldwide, royalty-free license to use, reproduce, modify, and display such content for marketing, promotional, and commercial purposes. You waive any right to compensation or approval.

14. Disclaimer of Warranties

All products and services are provided "as is" and "as available." Patch Party Club makes no warranties, express or implied, including merchantability or fitness for a particular purpose.

15. Limitation of Liability

To the fullest extent permitted by law, Patch Party Club and Woodfield Holdings Corporation shall not be liable for indirect, incidental, special, or consequential damages arising from use of the Site, products, services, or events.

16. Indemnification

You agree to indemnify and hold harmless Patch Party Club and Woodfield Holdings Corporation from any claims, losses, damages, or expenses resulting from:
